This SHARE EXCHANGE AGREEMENT (the “Agreement”) is made and entered into as of April 25, 2024, by and among Nu-Med Plus, Inc., a Utah corporation (the “Company”), YourSpace America, Inc., a Delaware corporation (“YourSpace”), and the Shareholders of YourSpace identified on Exhibit A attached hereto (each a “Shareholder” and collectively, the “Shareholders”). Capitalized terms used in this Agreement are defined in Annex A attached hereto.
