This ADVISORY MANAGEMENT AGREEMENT (this “Agreement”) is entered into on January 1, 2021 (the “Effective Date”), by and between MacKenzie Realty Capital, Inc., a Maryland corporation (the “Company”), together with its operating partnership, MacKenzie Realty Operating Partnership (the “Partnership”), and MacKenzie Real Estate Advisers, LP (f/k/a Lemon Creek Advisers, LP), a California limited partnership (the “Adviser”).

THIS AMENDED AND RESTATED INVESTMENT ADVISORY AGREEMENT (“Agreement”) is effective as of the 1st day of January, 2021 (the “Effective Date”) by and between MacKenzie Realty Capital, Inc., a Maryland corporation having its principal place of business in Orinda, California (the “Company”), and MCM Advisers, LP, a California limited partnership having its principal place of business in Orinda, California (the “Adviser”).
