This Warrant is issued to Simon R. Kay (the “Holder”) by Basanite, Inc., a Nevada corporation (the “Company”), pursuant to the terms of that certain Employment Agreement, dated March 25, 2022, by and between the Company and the Holder (the “Employment Agreement”).

This Employment Agreement (the “Agreement”), is entered into as of the 25th day of March, 2022 (the “Effective Date”), between Simon Richard Kay (the “Executive”) and Basanite, Inc., a Nevada corporation (the “Company”).
