This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of October 19, 2018, by and between OZOP SURGICAL CORP., a Nevada corporation, with its address at 319 Clematis Street, Suite 714, West Palm Beach, FL 33401 (the “Company”), and POWER UP LENDING GROUP LTD., a Virginia corporation, with its address at 111 Great Neck Road, Suite 216, Great Neck, NY 11021 (the “Buyer”).

This Consulting Agreement (the "Agreement") is made and entered into to be effective as October 19, 2018 (the "Effective Date") between Draper Inc. & Assigns a Nevada corporation with offices located at 35 Crest Loop, Staten Island, New York 10312 (the “Consultant”) and OZOP Surgical Corp (''the Company"). The Company and the Consultant are sometimes referred to individually, as a “Party” and collectively, as the “Parties.”
