This Agreement amends, restates and replaces in its entirety that certain Second Amended and Restated Note Purchase and Private Shelf Agreement, dated as of October 30, 2013 (as amended, restated, supplemented or otherwise modified through the date hereof, the “Prior Agreement”), between the Persons which are parties hereto as of the date hereof. Certain capitalized and other terms used in this Agreement are defined in Schedule B; and references to a “Schedule” or an “Exhibit” are, unless otherwise specified, to a Schedule or an Exhibit attached to this Agreement.
