AMENDED AND RESTATED BACKSTOP INVESTMENT AGREEMENT, dated as of October 13, 2016 (this “Agreement”), by and among Great Elm Capital Group, Inc., a Delaware corporation (the “Company”), and the several Investors listed in Annex 1 (the “Investors”). This Agreement amends and restates in its entirety the Backstop Investment Agreement, dated as of September 13, 2016 by and among the Company and the Investors. Certain capitalized terms are defined in Section 8.16.
