You are hereby awarded the following grant of restricted share units (“RSUs” or the “Award”) with respect to the common stock of DigitalGlobe, Inc. (the “Company”), subject to the terms and conditions set forth in this Restricted Share Unit Award Agreement for Non-U.S. Grantees, including the country-specific terms set forth in the attached Appendix (the “Award Agreement”) and in the amended and restated DigitalGlobe, Inc. 2007 Employee Stock Option Plan (as amended, modified or supplemented, the “Plan”).
