This AMENDMENT NO. 1 (this “Amendment”), dated as of July 18, 2017, to that certain Tax Receivable Agreement, dated as of December 19, 2016 (the “Agreement”), by and among Select Energy Services, Inc., a Delaware corporation (the “Corporate Taxpayer”), the TRA Holders and the Agent.
