This Visa Small Ticket and Deployment Support Incentive Agreement (this “Agreement”) is entered into between USA Technologies, Inc., a Pennsylvania corporation, with its principal office at 100 Deerfield Lane, Suite 300, Malvern, Pennsylvania 19355 (“Client”) and Visa U.S.A. Inc., a Delaware corporation, with its principal place of business at 900 Metro Center Boulevard, Foster City, California 94404 (mailing address P.O. Box 8999, San Francisco, California 94128-8999) (“Visa”, and together with Client, the “Parties”).
