This letter agreement (“Agreement”), dated April 30, 2018 (the “Execution Date”), will evidence the agreement whereby EP Energy E&P Company, L.P., a Delaware limited partnership (“Buyer”) shall acquire from SEP Holdings IV, LLC, a Delaware limited liability company (“Seller”, and each of Seller and Buyer a “Party” and collectively the “Parties”) all of Seller’s respective right, title and interest in, to and under the Assets other than the Excluded Assets.
