This SECOND AMENDMENT TO THE THIRD AMENDED AND RESTATED CREDIT AGREEMENT (this "Amendment"), dated as of September 30, 2019, by and among HALLADOR ENERGY COMPANY (the "Borrower"), the Guarantors party hereto, the lenders listed on the signature pages hereof(the "Lenders") and PNC BANK, NATIONAL ASSOCIATION, a national banking association, as administrative agent for the Lenders (the "Administrative Agent") under the Credit Agreement referred to below:
