This Employment Agreement (the “Agreement”) is entered into by and between HERITAGE COMMERCE CORP, a California bank holding company (the “Company”), HERITAGE BANK OF COMMERCE, a California banking corporation (the “Bank”), and ROBERTSON CLAY JONES, JR., an individual (the “Executive”). This Agreement shall become effective in accordance with Section 14 of this Agreement.
