This Share Exchange Agreement (this “Agreement”), dated as of September 30, 2014, is by and among National Graphite Corp, a Nevada corporation (the “Parent”), Biotech Development Corp., a Nevada corporation (the “Company”), and the Shareholders of the Company signatory hereto (the “Shareholders”). Each of the parties to this Agreement is individually referred to herein as a “Party” and collectively as the “Parties.”
