THIS SECOND AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF HANNON ARMSTRONG SUSTAINABLE INFRASTRUCTURE, L.P., dated as of February 16, 2024, is entered into by and among Hannon Armstrong Sustainable Infrastructure Capital, Inc., a Maryland Corporation (“Parent”), HAC Holdings I LLC, a Delaware limited liability company (“HAC I”), HAC Holdings II LLC, a Delaware limited liability company (“HAC II”), and the Limited Partners (as defined herein).

The Amended and Restated Employment Agreement by and between Hannon Armstrong Sustainable Infrastructure Capital, Inc. (the “Company”) and Jeffrey W. Eckel (the “Executive”) which took effect on March 1, 2023 (the “Agreement”) is hereby amended pursuant to this Amendment and Waiver to Amended and Restated Employment Agreement (the “Amendment and Waiver”). This Amendment and Waiver shall be effective as of February 15, 2024.

The Amended and Restated Employment Agreement by and between Hannon Armstrong Sustainable Infrastructure Capital, Inc. (the “Company”) and Richard R. Santoroski (the “Employee”) which took effect on April 5, 2022 (the “Agreement”) is hereby amended pursuant to this Amendment and Waiver to Amended and Restated Employment Agreement (the “Amendment and Waiver”). This Amendment and Waiver shall be effective as of January 26, 2024.
