(f/k/a INCC Acquisition, Inc.), a Deleware corporation (the “Guarantor”), and Zions First National Bank, a national banking association (“Lender”), as an inducement to Lender to continue to loan monies to inContact, Inc., a Delaware corporation (“Borrower”), pursuant to the terms and conditions of the Loan Agreement referenced below.
