In consideration of the restricted stock (the “Restricted Stock”) granted to Bradley W. Barber (the “Executive”) on August 14, 2015 by H&E Equipment Services, Inc., a Delaware corporation (the “Company”) pursuant to the grant award letter attached hereto as Exhibit A and for other valuable consideration the sufficiency of which is hereby acknowledged, intending to be legally bound, the Executive agrees to the terms and conditions set forth in this Restrictive Covenant Agreement (this “Agreement”).
