THIS EMPLOYMENT AGREEMENT (this “Agreement”) is entered into by and between Conatus Pharmaceuticals Inc., a Delaware corporation (the “Company”), and Edward F. Smith III, Ph.D., MBA, RAC (“Employee”), and shall be effective as of April 1, 20161 (the “Effective Date”).
