First Foundation Inc., a Delaware corporation (the “Company”), and First Foundation Bank, a California corporation (the “Bank”), each enter into this Equity Distribution Agreement (this “Agreement”), with FBR Capital Markets & Co. (“FBR”), Raymond James & Associates, Inc. (“Raymond James”), Sandler O’Neill & Partners, L.P. (“Sandler”), and D.A. Davidson & Co.
