This Purchase and Sale Agreement (this “Agreement”) is made and entered into this January 17, 2017 (the “Execution Date”), by and between RESOLUTE NATURAL RESOURCES SOUTHWEST, LLC, a Delaware limited liability company (“Seller”), and Wishbone Texas Operating Company LLC, a Texas limited liability company (“Buyer”).
