This General Severance Benefits and Change in Control Severance Benefits Agreement (this “Agreement”) is entered into as of the _10th_ day of November, 2016 (the “Effective Date”), by and between ROLLIN KOCHER (“Executive”) and Nanometrics Incorporated (the “Company”) (together, the “Parties”). This Agreement is intended to provide Executive with certain compensation and benefits in the event of certain qualifying terminations of Executive’s employment. Certain capitalized terms used in this Agreement are defined in Article 6.
