THIS EMPLOYMENT AGREEMENT (as the same may be amended, restated, supplemented or otherwise modified from time to time hereafter, this “Agreement”) is entered into by and between Columbia Laboratories, Inc., a Delaware corporation having its corporate offices at 4 Liberty Square, Boston, MA, 02109 (the “Company”), and Bridget A. Martell, MD MA (“Executive”).

This Amendment to the Amended and Restated License and Supply Agreement is made and entered into as of this 12th day of December, 2016, by and between Columbia Laboratories (Bermuda) Limited, a Bermuda corporation having its principal place of business at Canon’s Court, 22 Victoria Street, PO Box HM 1179, Hamilton HM 12, Bermuda ("Licensor"), and Ares Trading S.A., a Swiss company with its principal place of business at c/o Zone Industrielle, 1267 Coinsins, Switzerland ("Licensee").

THIS AMENDMENT NO. 2 TO LICENSE AGREEMENT (this “Amendment”) is entered into as of November 10, 2016 (the “Amendment No. 2 Effective Date”) by and among Juniper Pharmaceuticals, Inc., as successor to Columbia Laboratories, Inc., a Delaware corporation (“Juniper”), Columbia Laboratories (Bermuda) Ltd., a Bermuda corporation (“Columbia”), and Allergan Sales, LLC, as assignee of Coventry Acquisition, LLC, a Delaware limited liability company (“Allergan”). Juniper, Columbia and Allergan are hereinafter sometimes referred to each as a “Party” and collectively as the “Parties.”

Juniper, Allergan, and Actavis are hereinafter sometimes referred to each as a “Party” and collectively as the “Parties.”)
