(the “Company”) is pleased to offer to you the position of President, Strategy, Technology and Corporate Development (“President”) subject to the terms and conditions of this letter agreement. As President, you will continue to be a full-time employee of the Company based in San Diego, California, a Section 16 Officer, and you will continue to report directly to the Company’s Chief Executive Officer.
