This AMENDMENT NO. 1 TO CREDIT AGREEMENT AND INCREMENTAL ASSUMPTION AGREEMENT, dated as of August 7, 2019 (this “Agreement”), is made by and among AGILENT TECHNOLOGIES, INC., a Delaware corporation (the “Company”), BNP PARIBAS, as administrative agent for and on behalf of the Lenders (in such capacity, the “Administrative Agent”), and the Persons listed on the signature pages hereto as “Increasing Lenders” (the “2019 Incremental Term Lenders”, and each a “2019 Incremental Term Lender”). Capitalized terms used but not defined herein have the meaning assigned thereto in the Amended Credit Agreement (as defined below).
