Tim Daly (“Executive”) is currently employed by OVID THERAPEUTICS INC. (the “Company”) as its Executive Vice President, Finance, Corporate Controller and Treasurer pursuant to the terms of an Employment Agreement dated August 17th, 2015, as amended and restated on May 5, 2017, and as amended and restated on November 1, 2019 (the “Prior Agreements”). Executive and the Company hereby agree to this amended agreement. The terms and conditions set forth in this THIRD AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”) shall become effective as of December 18, 2019 (the “Effective Date”) and shall supersede and replace the terms and conditions set forth in the Prior Agreements. Certain bolded terms used in this Agreement are defined in Section 6.
