This Agreement amends, restates and replaces in its entirety that certain Note Purchase and Private Shelf Agreement, dated as of April 21, 2011 (as amended, supplemented or otherwise modified immediately prior the effectiveness hereof, the “Prior Agreement”), by and among the Persons which are parties hereto as of the date hereof. Certain capitalized and other terms used in this Agreement are defined in Schedule A; references to a “Schedule” or an “Exhibit” are, unless otherwise specified, to a Schedule or an Exhibit attached to this Agreement; and references to a “Section” are, unless otherwise specified, to a Section of this Agreement.
