This Settlement Agreement and Release (the “Agreement”) is made as of the 15th day of April, 2020, by and among Kaleyra, Inc. (“Kaleyra”) on the one hand, and Cowen and Company, LLC (“Cowen”) and Chardan Capital Markets, LLC (“Chardan”) (together, the “Banks”) on the other hand. Together, the parties to this Agreement will be referred to herein as the “Parties” and each a “Party.”
