THIRD SUPPLEMENTAL INDENTURE, dated as of September 24, 2020 (this "Third Supplemental Indenture") between Brown & Brown, Inc., a corporation duly organized and existing under the laws of the State of Florida (hereinafter called the "Company"), having its principal executive office located at 220 South Ridgewood Avenue, Daytona Beach, Florida 32114, and U.S. Bank National Association, a national banking association duly organized and existing under the laws of the United States (hereinafter called the "Trustee").
