This Executive Employment Agreement (the “Agreement”), is hereby made this 12th day of August, 2020, between UroGen Pharma, Inc., a wholly owned subsidiary (the “Subsidiary”) of UroGen Pharma, Ltd. (the “Parent”, and the Subsidiary and the Parent together, the “Company”), and Jason Smith (the “Executive”) (collectively, the “Parties”).

Reference is made to the Sales Agreement, dated as of December 20, 2019 (the “Sales Agreement”), between Cowen and Company, LLC (“Cowen”) and UroGen Pharma Ltd., a company organized under the laws of the State of Israel (the “Company”). All capitalized terms used in this Amendment No. 1 to the Sales Agreement between the Company and Cowen (this “Amendment”) and not otherwise defined herein shall have the respective meanings assigned to such terms in the Sales Agreement.
