THIS AMENDED AND RESTATED CHANGE IN CONTROL AGREEMENT (this “Agreement”) is made as of the 22nd day of February, 2021 (the “Effective Date”) by and among William C. Mitchell (the “Employee”); First US Bancshares, Inc., a Delaware corporation (“FUSB”); First US Bank, an Alabama banking corporation (the “Bank”); and Acceptance Loan Company, Inc., an Alabama corporation (“ALC”). FUSB and the Bank are together referred to herein as the “Company.”
