This SECOND AMENDED AND RESTATED PURCHASE AND SALE AGREEMENT (as amended, restated, supplemented or otherwise modified from time to time, this “Agreement”), dated as of March 17, 2021 is entered into among the VARIOUS ENTITIES LISTED ON SCHEDULE I HERETO (collectively, the “Originators” and each, an “Originator”), ASHLAND LLC, a Kentucky limited liability company (“Ashland”), as initial Servicer (as defined below), and CVG CAPITAL III LLC, a Delaware limited liability company (the “Buyer”).
