This CONSENT AND AMENDMENT NO. 5 TO CREDIT AGREEMENT (this “Amendment”) dated as of March 31, 2021, is entered into by and among ONDECK ASSET FUNDING II LLC, a Delaware limited liability company (“Company”), the Lenders party hereto, which constitute the Requisite Lenders, and ARES AGENT SERVICES, L.P., as Administrative Agent for the Lenders (in such capacity, “Administrative Agent”).
