This THIRD AMENDMENT TO CREDIT AGREEMENT, dated as of March 3, 2022 (this “Amendment”), is entered into by and among MACY’S INVENTORY FUNDING LLC, a Delaware limited liability company (the “Borrower”), MACY’S INVENTORY HOLDINGS LLC, a Delaware limited liability company (“Parent”), each lender party hereto (collectively, the “Third Amendment Lenders” and individually, an “Third Amendment Lender”) and BANK OF AMERICA, N.A. (“Bank of America”), as Agent, L/C Issuer and Swing Line Lender.
