This Amended and Restated Supplemental Executive Retirement Plan Agreement (this “Agreement”) is adopted this 6th day of September 2022 (the “Effective Date”), by and between Mid Penn Bank, a Pennsylvania bank and trust company headquartered in Millersburg, Pennsylvania (the “Bank”), and Scott W. Micklewright (the “Executive”). This Agreement amends, restates, and replaces in its entirety any prior Supplemental Executive Retirement Plan Agreement between you and the Bank, including any and all subsequent amendment(s) thereto. All such prior agreements or arrangements are without any further effect and are hereby rescinded.

This Agreement amends, restates, and replaces in its entirety any prior Employment Agreement between you, the Corporation and the Bank, including any and all subsequent amendment(s) thereto. All such prior agreements or arrangements are without any further effect and are hereby rescinded
