THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”), dated as of January 1, 2015 (the “Effective Date”), is made by and between Intrawest Resorts Holdings, Inc., a Delaware corporation (the “Corporation”), and Thomas F. Marano (the “Executive”). Where the context permits, references to “the Corporation” shall include the Corporation and any successor to the Corporation.
