This CREDIT AND GUARANTY AGREEMENT, dated as of August 5, 2014 is entered into by and among NORTHSTAR REALTY FINANCE CORP., a Maryland corporation (the “Borrower”), CERTAIN SUBSIDIARIES OF THE BORROWER, as Guarantors, the Lenders party hereto from time to time, DEUTSCHE BANK AG NEW YORK BRANCH (“DBNY”), as administrative agent (together with its permitted successors in such capacity, “Administrative Agent”) and as collateral agent (together with its permitted successors in such capacity, “Collateral Agent”), and DEUTSCHE BANK SECURITIES INC., as Sole Lead Arranger and Sole Bookrunner (in such capacity, “Lead Arranger”).
