This AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of December 2, 2014 (the “Effective Date”) is by and among (a) SILICON VALLEY BANK, a California corporation (“Bank”), and (b) (i) INSPRO TECHNOLOGIES CORPORATION, a Delaware corporation (“InsPro Corp”), (ii) INSPRO TECHNOLOGIES, LLC, a Delaware limited liability company (“InsPro LLC”), and (iii) ATIAM TECHNOLOGIES L.P., a Delaware limited partnership (“Atiam”) (InsPro Corp, InsPro LLC and Atiam are individually and collectively, jointly and severally, “Borrower”), and provides the terms on which Bank shall lend to Borrower, and Borrower shall repay Bank.
