This Fee Waiver Agreement (the “Agreement”) is effective as of December 1, 2014 by and between Virtus Insight Trust, a Massachusetts business trust (the “Registrant”), on behalf of the series of the Registrant listed in Appendix A (each a “Fund” and collectively, the “Funds”), and the Distributor of the Fund, VP Distributors, LLC, a Delaware Corporation (the “Distributor”) for the Class I shares of the Fund.

This Fourth Amended and Restated Expense Limitation Agreement (the “Agreement”) effective as of December 1, 2014 amends that certain Expense Limitation Agreement effective as of December 15, 2008 by and between Virtus Insight Trust, a Delaware statutory trust (the “Registrant”), on behalf of each series of the Registrant listed in Appendix A (each a “Fund” and collectively, the “Funds”) and the Adviser of each of the Funds, Virtus Investment Advisers, Inc., a Massachusetts corporation (the “Adviser”).

This Third Amended and Restated Expense Limitation Agreement (the “Agreement”) effective as of December 15, 2008 amends that certain Expense Limitation Agreement effective as of August 23, 2007 by and between Phoenix Insight Funds Trust, a Massachusetts business trust (the “Registrant”), on behalf of each series of the Registrant listed in Appendix A (each a “Fund” and collectively, the “Funds”) and the Adviser of each of the Funds, Phoenix Investment Counsel, Inc., a Massachusetts corporation (the “Adviser”).
