THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made the 29th day of April, 2016, to become effective as of the Effective Date (as hereinafter defined), by and between Nicolet Bankshares, Inc., a bank holding company organized under the laws of the State of Wisconsin (the “Company”), Nicolet National Bank, a national bank (the “Bank” and collectively with the Company, the “Employer”), and Michael E. Daniels, a resident of the State of Wisconsin (the “Executive”).

THIS FIRST SUPPLEMENTAL INDENTURE dated as of April 29, 2016 is by and among Wilmington Trust Company, a Delaware trust company, as Trustee (herein, together with its successors in interest, the “Trustee”), Nicolet Bankshares, Inc., a Wisconsin corporation (the “Successor Company”), and Baylake Corp., a Wisconsin corporation (the “Company”), under the Indenture referred to below.
