Corsair Georgia, L.P., a Delaware limited partnership (“Corsair”), proposes to sell, 7,300,047 shares (collectively, the “Shares”) of common stock, $1.00 par value per share (the “Common Stock”), of United Community Banks, Inc., a Georgia corporation (the “Company”). This agreement (this “Agreement”) is to confirm the agreement concerning the purchase of the Shares from Corsair by J.P. Morgan Securities LLC (“Underwriter”).
