This amendment (the "Amendment") between the parties signing below ("Parties") amends the Existing Agreement as of June 30, 2023 (the "Effective Date"):

This AMENDED AND RESTATED MANAGEMENT AGREEMENT (the “Agreement”), to be effective July 12, 2023, is by and between PRINCIPAL EXCHANGE-TRADED FUNDS, a Delaware statutory trust (the “Fund”), on behalf of each series identified on Schedule 1 attached hereto, as may be amended from time to time (each, a “Series”), and PRINCIPAL GLOBAL INVESTORS, LLC, a Delaware limited liability company (the “Manager”).

This DISTRIBUTION PLAN AND AGREEMENT (the “Plan”), made effective as of _________, 20__, is by and between PRINCIPAL EXCHANGE-TRADED FUNDS, a Delaware statutory trust (the "Fund"), and ALPS DISTRIBUTORS, INC., a Colorado corporation (the "Distributor").
