THIS MEZZANINE B LOAN LIMITED RECOURSE GUARANTY (“Guaranty”) is made this 5th day of April, 2017, by BROOKFIELD DTLA HOLDINGS LLC, a Delaware limited liability company (the “Guarantor”), in favor of CITIGROUP GLOBAL MARKETS REALTY CORP. (together with its successors, transferees and assigns, the “Lender”).

THIS LOAN AGREEMENT, dated as of April 5, 2017 (as amended, restated, replaced, supplemented or otherwise modified from time to time, this “Agreement”), among CITIBANK, N.A., having an address at 390 Greenwich Street, 7th Floor, New York, New York 10013, as administrative agent, for the benefit of Lenders (in such capacity, together with its successors and/or assigns, “Administrative Agent”), EACH OF THE FINANCIAL INSTITUTIONS INITIALLY A SIGNATORY HERETO AND EACH OTHER FINANCIAL INSTITUTION WHO MAY BECOME A LENDER PURSUANT TO SECTION 18.15 HEREOF (together with their successors and permitted assigns, each a “Lender” and, collectively, “Lenders”), CITIGROUP GLOBAL MARKETS INC.
