This Stock Purchase Agreement (this “Agreement”), dated as of April 19, 2021, is entered into among those Persons listed on Schedule 1 attached hereto (each a “Seller” and, collectively, the “Sellers”), Brandon Torres Declet, in his capacity as Sellers’ representative (the “Sellers’ Representative”) and AGEAGLE AERIAL SYSTEMS INC., a Nevada corporation (“Buyer”).
