This Note amends and restates in its entirety that certain Convertible Promissory Note issued to Holder as of the Original Issuance Date in the original principal amount of $950,000.00, as amended and extended pursuant to that certain Promissory Note Extension Agreement dated as of April 5, 2023 (the “Original Note”), which Original Note is hereby rendered void ab initio.
