Supplemental Indenture (this “Supplemental Indenture”), dated as of May 27, 2021, among Sirius International Group, Ltd., a Bermuda exempted company, as issuer (the “Issuer”), SiriusPoint Ltd., a Bermuda exempted company, as new issuer (the “New Issuer”), The Bank of New York Mellon, as trustee under the Indenture referred to below (the “Trustee”), and The Bank of New York Mellon, London Branch, as paying agent and calculation agent under the Indenture (collectively, the “Parties”).
