THIS AGREEMENT is made and entered into as of this 14th day day of July, 2015, by and between PRINCETON FUND ADVISORS, LLC (the "Adviser"), a Delaware limited liability company registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Whippoorwill Capital Management LP, a limited partnership organized under the laws of Delaware (the “Subadviser”) and also registered under the Advisers Act, with respect to Sandalwood Opportunity Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).
