THIS AGREEMENT is made and entered into as of the 25th day of March, 2015, by and between Dearborn Capital Management, LLC (the “Adviser”), a limited liability company organized under the laws of Illinois and registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Middleton Dickinson Capital Management, LLC, a limited liability company organized under the laws of Illinois (the “Subadviser”) and also registered under the Advisers Act, with respect to the Grant Park Fixed Income Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).
