THIS AGREEMENT is made and entered into as of the 23rd day of December, 2015 by and between Balter Liquid Alternatives, LLC (the “Adviser”), a Delaware limited liability company registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and 12th Street Asset Management Company, LLC, a Delaware limited liability company which is registered under the Advisers Act (the “Subadviser”) , with respect to the Balter Long Short Equity Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST II, a Delaware statutory trust (the “Trust”).
