THIS CONSULTING AGREEMENT (this "Agreement") dated February 1, 2017 (the "Effective Date"), is entered into by and between TWO ROADS SHARED TRUST, a Delaware statutory trust having its office and principal place of business at 17605 Wright Street, Omaha, Nebraska 68130 (the "Trust"), and NORTHERN LIGHTS COMPLIANCE SERVICES, LLC, a Nebraska limited liability company having its office and principal place of business at 17605 Wright Street, Omaha, Nebraska 68130 ("NLCS").
