THIS AGREEMENT is made and entered into as of the 25th day of January, 2017 by and between Balter Liquid Alternatives, LLC (the “Adviser”), a Delaware limited liability company registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Intrinsic Edge Capital Management LLC, an Illinois limited liability company which is registered under the Advisers Act (the “Subadviser”), with respect to the Balter L/S Small Cap Equity Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST II, a Delaware statutory trust (the “Trust”).
