THIS ASSIGNMENT AND ASSUMPTION AGREEMENT (the “Agreement”) is made as of this 14th day of September, 2020, by and between FAM Shareholder Services, Inc., a New York corporation (“FSS”) and Fenimore Asset Management, Inc., also a New York corporation (“Fenimore”), and is acknowledged and consented to by Fenimore Asset Management Trust (the “Trust”), a Massachusetts business trust registered as an investment company under the Investment Company Act of 1940, as amended, which consists of FAM Value Fund, FAM Dividend Focus Fund and FAM Small Cap Fund (the “Funds”).
